These Terms apply to all visitors, clients, and others who access or use our Site. We reserve the right to update these Terms at any time. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

- ·Web design and development
- ·Digital marketing and advertising
- ·Branding and graphic design
- ·AI-powered digital solutions
- ·Website management and maintenance
All services are subject to a separate written agreement, proposal, or statement of work agreed upon between Samelite Creative Lab and the client. These Terms govern the general relationship and use of our Site; specific project terms are outlined in individual client agreements.
3. Intellectual Property
Our Content All content on this Site — including text, graphics, logos, images, audio clips, and software — is the property of Samelite Creative Lab or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
Client Work Upon full payment of all agreed fees, intellectual property rights for custom deliverables (such as logos, website designs, and written content) created specifically for a client are transferred to that client, unless otherwise specified in the client agreement.
Third-Party Assets Some deliverables may incorporate licensed third-party assets (stock images, fonts, plugins). Ownership and usage rights for these assets are governed by their respective licences, which will be disclosed to the client.
Portfolio Rights Samelite Creative Lab retains the right to display completed work in our portfolio, on our website, and in marketing materials, unless the client requests confidentiality in writing.
4. Payment Terms
Deposits and Invoicing Most projects require a deposit (typically 50%) before work commences. The remaining balance is due upon project completion or as specified in the client agreement. Invoices are issued in Kenyan Shillings (KES) unless otherwise agreed.
Late Payments Invoices not paid within the agreed payment period may incur a late payment fee. We reserve the right to pause or suspend work on a project until outstanding invoices are settled.
Refunds Deposits are non-refundable once work has commenced. Refund eligibility for other payments is assessed on a case-by-case basis and outlined in individual client agreements.
Taxes All quoted prices are exclusive of applicable taxes (including VAT where applicable) unless stated otherwise.
5. Client Responsibilities
To enable us to deliver services effectively, clients agree to:
- ·Provide accurate, complete, and timely information, content, and feedback as required
- ·Designate a primary point of contact with authority to approve deliverables
- ·Respond to requests for feedback or approvals within agreed timeframes (delays may affect project timelines and costs)
- ·Ensure they have the legal right to use any content, images, or materials provided to us for inclusion in deliverables
- ·Not request work that infringes third-party intellectual property rights or violates applicable laws
6. Revisions and Scope Changes
Each project proposal includes a defined number of revision rounds. Revisions beyond the agreed scope, or requests that materially change the original brief, may be subject to additional charges.
Significant changes to project scope ("scope creep") will be documented in a change order, which must be approved in writing before additional work commences. We will always communicate potential additional costs before proceeding.
7. Project Timelines
Estimated timelines are provided in good faith based on the information available at the time of proposal. Timelines may be affected by:
- ·Delays in receiving client-supplied content, feedback, or approvals
- ·Changes to project scope
- ·Third-party dependencies (e.g., domain registrars, hosting providers, payment gateways)
- ·Unforeseen technical challenges
We will communicate any timeline changes promptly. Samelite Creative Lab is not liable for losses arising from project delays caused by factors outside our reasonable control.
